Instem Terms and Conditions for Licensing, Sales, and Service
The enclosed, linked documents contain the terms and conditions for certain software, SaaS, products, and other services offered by Instem LSS Limited or one or more of its affiliates or subsidiaries (“Instem”). The overall agreement for such software, offerings, products, or services, as applicable, is comprised of the Master Agreement, the underlying Transaction Document (as defined in the Master Agreement), and the applicable Maintenance Services Addendum, Professional Services Addendum, or Data Processing Addendum, depending on the particular software, offering, product, or service that you license or purchase from Instem.
In particular, the Master Agreement applies to (1) all subscription-based access to software (including third-party software) as a hosted service; (2) licensing of any on-premise software (including where Instem itself may host your pre-existing licenses, if applicable); (3) maintenance services and professional services (as described in the Master Agreement); and (4) any sale of physical goods.
Additionally:
- To the extent you procure any Maintenance Services from Instem, such services are governed by the applicable Transaction Document, the Master Agreement, and the supplemental Maintenance Services Addendum. However, to the extent you contract with d-Wise for any Maintenance Services, the Maintenance Services Addendum shall not apply and any Maintenance Services will be governed by the applicable Transaction Document.
- If you are obtaining Professional Services from Instem, then the services are governed by the applicable Transaction Document, the Master Agreement, and the supplemental Professional Services Addendum.
- If any of Instem’s Offerings (as defined in the Master Agreement) are subject to the GDPR or Data Protection Laws, then the Data Processing Addendum shall apply.
